PREAMBLE, LEGAL STATUS AND BINDING EFFECT

This Legal Policy, read together with the Terms of Use, Privacy Policy, Subscription Terms, Data Protection Statement, and any Statement of Work or Professional Engagement Letter (collectively referred to as the “Agreement”), governs the access to and use of the My Notice Track platform, including all related technology infrastructure, software systems, encrypted databases, portal monitoring architecture, credential management systems, dashboards, analytics engines, alert transmission modules, communication integrations, and associated support services (hereinafter collectively referred to as the “Platform” or the “Service”).

The Platform is a technology-enabled notice detection and alert mechanism intended to monitor specified statutory portals of the Government of India, including but not limited to the Income Tax portal and the Goods and Services Tax portal, based on information and credentials voluntarily provided by the User.

By registering on the Platform, subscribing to any plan, accessing the dashboard, submitting credentials, or otherwise using any component of the Service, the User expressly and irrevocably acknowledges that such use constitutes acceptance of this Legal Policy as a legally binding agreement enforceable under the laws of India.

My Notice Track is a digital platform and product of Lexellence Business Consulting LLP. The platform is owned, managed, and operated by Lexellence Business Consulting LLP, and all services provided through the platform are subject to these Legal Policies and Terms.

The User further confirms that such acceptance is voluntary, informed, and not induced by misrepresentation, and that continued access to the Platform shall constitute continuing affirmation of these terms as amended from time to time.

NATURE, CHARACTER AND LIMITATION OF SERVICE

The Platform operates exclusively as a technology-based monitoring and notification infrastructure. Its primary function is to detect the existence of statutory notices or communications uploaded to designated government portals and to transmit alert notifications to Users through registered communication channels.

The Service is limited strictly to:

  • Periodic monitoring of specified portals using credentials or identifiers provided by the User.
  • Identifying the presence of new statutory communications visible on such portals.
  • Generating and transmitting alerts to the User.
  • Providing limited access to a dashboard reflecting detected communications.

The Service does not undertake statutory compliance management, advisory, representation, filing, drafting, legal review, or regulatory interpretation unless such services are separately contracted through a distinct written professional engagement.

The User expressly acknowledges that the Platform is not a substitute for independent portal access, statutory vigilance, professional consultation, or legal representation. The Platform is a supplementary technological aid and not a compliance guarantor.

Under no circumstance shall the Platform be construed as assuming fiduciary responsibility for statutory compliance.

ABSENCE OF PROFESSIONAL, LEGAL OR TAX ADVICE

Nothing contained within the Platform, including alerts, summaries, dashboards, notifications, descriptions, or explanatory text, shall be construed as legal advice, tax advisory, regulatory opinion, compliance certification, or professional recommendation.

The Platform does not examine the legal validity, factual correctness, jurisdictional competence, procedural legality, or enforceability of any notice detected. It does not interpret statutory provisions or provide litigation strategy.

Any consultation, drafting, representation before authorities, appellate filing, rectification petition, advisory note, compliance planning, or litigation service shall be rendered only pursuant to a separately executed engagement agreement that clearly defines scope, fees, responsibility, and liability.

Users remain solely responsible for verifying the content of detected notices, calculating statutory deadlines, determining response strategy, and ensuring compliance with applicable laws.

The Platform shall not be held liable for any reliance placed by the User on alert notifications without independent verification.

ACTIVATION, CREDENTIAL HANDLING AND USER WARRANTIES

Monitoring functionality is activated only upon successful onboarding, which includes submission of valid credentials or authorised access data necessary for portal monitoring.

The User warrants and represents that:

  • The credentials provided belong lawfully to the User or are shared with lawful authority.
  • The User possesses full legal right and capacity to authorise portal access for monitoring purposes.
  • Credentials are accurate and complete.
  • Credentials shall be updated promptly if modified or revoked.

The Platform is entitled to rely entirely upon credentials as submitted without independently verifying ownership or authority.

If credentials are invalid, expired, incorrect, incomplete, or revoked, monitoring functionality may fail. In such event, the Platform shall not bear responsibility for undetected notices.

Subscription validity shall not automatically extend due to delay in submission of credentials unless expressly agreed in writing.

The User acknowledges that the monitoring mechanism operates based on technological interaction with government portals and is dependent upon continued access permissions.

SERVICE LIMITATIONS, PORTAL DEPENDENCY AND TECHNOLOGICAL DISCLAIMERS

The Platform operates independently from government authorities and has no control over the architecture, functionality, data publication practices, or system uptime of statutory portals.

Government portals may experience downtime, scheduled maintenance, retroactive uploads, administrative delays, restructuring, or changes in login protocol including multi-factor authentication requirements.

The Platform disclaims liability for:

  • Delayed publication of notices by authorities.
  • Portal outages.
  • Technical malfunction of third-party infrastructure.
  • Retroactive uploads of notices by departments.
  • Changes in statutory portal architecture.
  • Failures attributable to internet service providers.

The Service is provided on a best-effort basis and on an “as available” and “as is” foundation without any express or implied warranty of uninterrupted performance or complete detection.

No warranty is provided regarding the timeliness, completeness, or accuracy of portal-generated content.

DATA PROTECTION, CYBERSECURITY AND CONFIDENTIALITY

The Platform processes personal data and credential-related information in compliance with applicable Indian laws, including the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023.

Credentials transmitted by Users are received via encrypted communication protocols. Stored credentials are encrypted and access-restricted to authorised personnel bound by confidentiality obligations.

Access logs may be maintained for internal audit and regulatory compliance purposes.

The Platform implements commercially reasonable cybersecurity safeguards. however, the User acknowledges that no digital infrastructure can guarantee absolute immunity from cyber threats.

The Platform shall not be liable for cyber incidents resulting from sophisticated attacks, force majeure cyber events, systemic vulnerabilities in third-party hosting providers, or infrastructure compromise beyond reasonable control.

The User accepts inherent digital risk associated with online systems.

INTELLECTUAL PROPERTY AND LICENSE GRANT

All proprietary rights in and to the Platform, including source code, object code, algorithms, interface design, data structures, architecture models, alert logic systems, databases, trademarks, branding elements, and documentation, are the exclusive intellectual property of My Notice Track.

The User is granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for personal or internal business monitoring purposes.

The User shall not copy, reproduce, distribute, reverse engineer, decompile, disassemble, modify, create derivative works, scrape, automate extraction from, or commercially exploit any portion of the Platform without express written consent.

Violation of intellectual property protections shall entitle the Platform to seek injunctive relief and damages.

TAXATION, STATUTORY CHARGES AND REGULATORY LIABILITY

Subscription fees shall be subject to Goods and Services Tax (GST) at applicable rates.

The User shall be responsible for any tax deduction at source obligations under the Income Tax Act, 1961, reverse charge liabilities, cross-border withholding taxes, or other statutory deductions applicable to the transaction.

The Platform shall not bear responsibility for tax liabilities arising from User classification, cross-border remittances, or incorrect tax treatment adopted by the User.

In case of any tax authority inquiry, audit, assessment, or investigation attributable to User conduct, the User shall indemnify and hold harmless the Platform from associated penalties, interest, or legal expenses.

LIMITATION OF LIABILITY AND FINANCIAL CAP

To the fullest extent permitted under applicable law, the Platform shall not be liable for indirect, consequential, incidental, special, exemplary, or punitive damages, including loss of profits, loss of business opportunity, reputational harm, or business interruption.

The Platform shall not be liable for statutory penalties, interest, attachment proceedings, enforcement actions, or litigation arising from missed deadlines or portal non-response.

The aggregate liability of the Platform, whether arising in contract, tort, negligence, strict liability, statutory breach, or otherwise, shall be limited to the total subscription fees paid by the User in the preceding twelve months.

This limitation shall apply irrespective of the form of action and notwithstanding failure of essential purpose.

INDEMNIFICATION AND HOLD HARMLESS OBLIGATION

The User agrees to indemnify, defend, and hold harmless the Platform, its promoters, directors, officers, employees, contractors, and affiliates from and against all claims, liabilities, damages, penalties, fines, costs, and expenses, including legal fees, arising out of:

  • Misuse of credentials.
  • Unauthorised sharing of access.
  • Breach of statutory obligations by the User.
  • Violation of third-party rights.
  • Negligent or unlawful conduct by the User.
  • Claims arising from User account misuse.

The indemnification obligation shall survive termination of subscription.

FORCE MAJEURE AND UNFORESEEN EVENTS

The Platform shall not be liable for delay or failure to perform obligations where such delay or failure results from events beyond reasonable control, including acts of government, regulatory amendments, cyber attacks, natural disasters, communication breakdown, or infrastructure collapse.

During such period, obligations shall be suspended to the extent affected.

TERMINATION, SUSPENSION AND CONTINUING LIABILITY

The Platform may suspend or terminate access where there is misuse, breach of this Legal Policy, fraudulent activity, regulatory violation, or material misrepresentation.

Termination shall not extinguish accrued liabilities, indemnity obligations, or clauses expressly stated to survive.

GOVERNING LAW AND EXCLUSIVE JURISDICTION

This Legal Policy shall be governed by and construed in accordance with the laws of the Republic of India.

The courts at Pune, Maharashtra shall have exclusive jurisdiction over disputes, subject to arbitration provisions.

ARBITRATION AND DISPUTE RESOLUTION

Any dispute arising out of or relating to the Platform shall be referred to arbitration under the Arbitration and Conciliation Act, 1996.

The arbitration shall be conducted in Pune by a sole arbitrator. The award shall be final and binding and enforceable in accordance with Indian law.

SURVIVAL OF OBLIGATIONS

Provisions relating to limitation of liability, indemnification, intellectual property, confidentiality, dispute resolution, governing law, and tax obligations shall survive termination or expiry of subscription.
